  • "You," "User," "Client" refers to the individual or family using our services or website
  • "Resident" refers to the senior individual receiving care services
  • "Agreement" refers to these Terms and Conditions and any service contracts entered into
  • "Website" refers to the softvalesa website at softvalesa.live

2. Acceptance of Terms

By using our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services or website.

Capacity to Enter Agreement: You must be at least 18 years old and have the legal capacity to enter into a binding agreement. For services involving a resident, the person entering the agreement must have legal authority to make care decisions on behalf of the resident.

These terms form a legally binding agreement between you and softvalesa. Additional service-specific terms may apply and will be provided in your service contract.

3. Service Description

softvalesa provides non-medical senior residential care services in Chiang Mai, Thailand. Our services include:

  • Personal Care and Companionship
  • Contemplative and Social Activities programming
  • Complete Residential Living arrangements

Service Availability: Services are provided at our facility located at 112/6 Nimmanhemin Road, Suthep, Mueang Chiang Mai, Chiang Mai 50200, Thailand. We reserve the right to modify service availability with reasonable notice.

Non-Medical Services: Our services do not include medical treatment or nursing care. Residents requiring medical attention will need to seek care from qualified healthcare providers.

4. Service Enrollment and Contracts

Enrollment in our services requires completion of:

  1. Initial consultation and needs assessment
  2. Completion of enrollment paperwork and health information forms
  3. Review and signing of service contract
  4. Payment of required deposits or fees

Service Modifications: We may need to adjust service delivery based on changing needs or circumstances. We will discuss any significant changes with you before implementation.

Right to Refuse Service: We reserve the right to decline service enrollment if we determine that we cannot adequately meet the prospective resident's needs or if there are safety concerns.

5. User Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information during enrollment and throughout service delivery
  • Inform us promptly of any changes to health status, contact information, or care needs
  • Treat staff, other residents, and visitors with respect and courtesy
  • Comply with facility policies and safety guidelines
  • Make timely payments as agreed in your service contract
  • Notify us of any concerns or complaints promptly

Prohibited Activities: You may not engage in behavior that endangers others, damages property, disrupts services, violates the rights of other residents, or violates applicable laws.

6. Intellectual Property

All content on our website, including text, images, logos, and design elements, is owned by softvalesa or our licensors and is protected by intellectual property laws.

Limited License: You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from our content without prior written permission.

User-Generated Content: Any feedback, suggestions, or testimonials you provide may be used by softvalesa for marketing and service improvement purposes.

7. Payment Terms

Pricing: Service fees are as stated in your service contract. All prices are in Thai Baht (฿) unless otherwise specified.

Payment Schedule: Monthly fees are due in advance by the first day of each month. Initial enrollment may require a deposit.

Late Payments: Late payments may result in service suspension or termination as outlined in your service contract.

Refund Policy: Refunds for unused services are handled on a case-by-case basis. Advance notice of service termination (typically 30 days) is required for potential refunds. Deposits may be non-refundable or subject to deductions for damages or outstanding balances.

Price Changes: We reserve the right to adjust pricing with 60 days' written notice.

8. Disclaimers

Our services are provided on an "as is" basis. While we strive to provide high-quality care, we make no guarantees regarding specific outcomes or results.

No Medical Advice: Staff members are not qualified to provide medical advice or treatment. Any information shared regarding health matters should not be considered a substitute for professional medical consultation.

Website Disclaimer: Information on our website is for general informational purposes. We make reasonable efforts to keep information current and accurate but do not warrant its completeness or timeliness.

9. Limitation of Liability

To the maximum extent permitted by law, softvalesa shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or website.

Our total liability for any claim related to our services shall not exceed the amount paid by you for services during the three months prior to the claim.

Force Majeure: We are not liable for delays or failures in service delivery caused by circumstances beyond our reasonable control, including natural disasters, public health emergencies, or government actions.

10. Indemnification

You agree to indemnify and hold harmless softvalesa, its staff, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms, your use of our services, or your violation of any rights of another party.

11. Termination

By You: You may terminate services by providing written notice as specified in your service contract (typically 30 days).

By Us: We may terminate services if payment obligations are not met, if facility policies are violated, if safety concerns arise, or if we can no longer adequately meet care needs. We will provide reasonable notice when possible.

Effects of Termination: Upon termination, access to services will cease. Outstanding payments remain due. Certain terms, including those related to confidentiality and liability, survive termination.

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of Thailand. Any disputes shall be subject to the jurisdiction of the courts of Chiang Mai Province.

Informal Resolution: Before pursuing formal legal action, we encourage you to contact us at [email protected] to attempt to resolve the matter informally.

Mediation: If informal resolution is unsuccessful, parties agree to attempt mediation before litigation.

13. General Provisions

Entire Agreement: These Terms, along with any service contracts and our Privacy Policy, constitute the entire agreement between you and softvalesa.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations to a successor entity.
